$FGNX – FG Nexus board approves affordable housing acquisition strategy + $10M stake in FG Communities, renaming to FG Communities Holdings ($FGC)

FG Nexus (Nasdaq: FGNX) put out a release this morning that basically completes the pivot they telegraphed back in July. Quick rundown:

* Board approved a strategy to acquire affordable housing communities (land-lease / manufactured housing).
* $10M investment in FG Communities, Inc. for roughly a 10% stake. FG Communities is a private, self-managed operator with 96 communities and 4,000+ homesites owned or pending acquisition.
* Two-track approach going forward: FG Nexus buys properties directly, and also holds the FG Communities stake. Funding from cash on hand, debt, and stock issuance depending on the deal.
* Company is renaming to FG Communities Holdings, Inc. Ticker changes to $FGC (common) and $FGCPP (preferred) once the filings and Nasdaq confirmation go through.
* The FG Communities deal is related-party (Kyle Cerminara chairs both), so it went through a special committee of independent directors with an outside financial advisor.

Cerminara's quote from the release: the strategy "marks an important step in our transformation into a leading owner and operator of land-lease affordable housing communities" and they have a "strong pipeline of potential acquisition opportunities."

Context for anyone who doesn't follow it: this was a digital asset treasury company in 2025. They exited that and announced the real estate direction on July 1. Today's release is the board formally signing off and putting real money into it. The release cites a $500B+ addressable market for US affordable housing communities.

Things I'd keep an eye on: no cash or balance sheet numbers in this release, so watch the next 10-Q for how much dry powder they actually have for direct acquisitions. And "stock issuances" as a funding source means dilution is on the table.
