$BR, the mandatory plumbing of global finance trading at a 34% discount to intrinsic value

I spent the last couple weeks digging into Broadridge Financial Solutions (BR), a $19.4B financial infrastructure company. Nobody really talks about it, but it functions essentially as a monopoly toll bridge for Wall Street. The stock has been beaten down recently, and I think the market is mispricing a highly durable business. Wanted to share my work.

## What They Do

If you own stock and receive a proxy voting form in the mail or by email, Broadridge sent it. They handle the plumbing for shareholder communications and post-trade processing for banks and broker-dealers. They process trillions of dollars in equity and fixed income trades every day. It is not an exciting business, but it is a mandatory one. The switching costs are astronomically high. You do not rip out the central nervous system of your trading desk to save a few pennies. This is why their recurring client retention rate is 98%.

## Why The Stock Is Cheap

The market is currently obsessing over two things. First, their event-driven proxy revenues (like mutual fund voting) declined 27% year-over-year recently, creating short-term earnings volatility. Wall Street hates lumpiness.

Second, there is a looming fear that blockchain or decentralized finance will eventually bypass Broadridge's legacy infrastructure. On top of that, they carry $3.5B in debt, which makes the market nervous in a higher-rate environment.

## Why I Think The Market Is Wrong

The market is confusing a temporary lull in mutual fund voting with structural erosion. The core recurring revenue engine is still growing steadily. More importantly, operating margins have expanded to 17.8%, and return on invested capital has climbed to nearly 19%. A deteriorating business does not see margins and ROIC expand.

As for the blockchain threat, Broadridge is not being disrupted by it, they are building it. Their tokenized Distributed Ledger Repo platform volume just tripled year-over-year to $360 billion daily. They are moving fast enough to own the new tokenized market.

## Adjusted Free Cash Flow

| Metric | Value |
|---|---|
| Operating Cash Flow | $1346M |
| Less: Stock-Based Comp | -$94M |
| Less: Maintenance CapEx | -$112M |
| Add: Working Capital Adj. | $211M |
| **Adjusted Free Cash Flow (FCF)** | **$1351M** |
| FCF Per Share (114.0M shares) | $11.85 |

- ROIC: 18.9%
- 7-year FCF CAGR: 13.5%
- ~98% recurring client retention
- Gross margins: 31.7%

## The Balance Sheet

| Metric | Value |
|---|---|
| Liquid Assets | $404M |
| Total Debt | $3518M |
| Market Cap | $19408M |
| **Enterprise Value** | **$22522M** |
| **EV / Adjusted FCF** | **16.7x** |

At roughly 16.7x Adjusted FCF, you are paying a near-record low multiple for a compounding machine that has grown cash flows consistently for a decade.

## Capital Allocation

Management clearly believes the stock is cheap. On their last earnings call, the CFO explicitly stated they see compelling value at these prices. They backed this up by executing a record $600M in buybacks this past year and authorizing a fresh $1.5 billion repurchase program. They also raised their dividend by 12%, marking their 20th consecutive year of increases.

## What Would Make Me Sell

A few things keep me honest here. The debt load is real. With $3.1B in net debt, they need to maintain strong cash generation to service it. If they make a massive, overpriced acquisition instead of executing the buyback, I would reconsider. Finally, if another tech player actually manages to undercut their pricing on post-trade clearing and their 98% retention rate starts to slip, the thesis is broken.

## Valuation & Verdict

So what is the business actually worth today? I calculated the Owner Earnings and ran the multiple to find the final 34% Margin of Safety. If you want to see my exact Intrinsic Value target and my final verdict on the stock, I put the math together in a short video here: https://youtu.be/NWUAHcr39z0?si=RQH9GGZHDg6TEgLP
