\- Great history of pre-empting black swan events (GFC, COVID, Inflation in 2022). In all three cases, they hedged their portfolio, made billions on bearish buys (credit default swaps and the like) and deployed that capital at market lows
\- Ackman is convinced that now is a great time to deploy capital, and intends to deploy it quickly, within a few weeks, after the IPO
\- Has consistently, hugely outperformed the S&P
\- Offering a deal whereby retail investors get one share of $PS (parent company) for 5 shares of $PSUS
